Terms of Service

By accessing or using COSai (the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms.

Acceptance occurs when you create an account, click "I agree," or begin using the Service. If you do not agree, do not use the Service.

COSai provides a financial intelligence layer that connects to your existing accounting, banking, payroll, and field service management tools. We surface real-time profitability data, anomaly flags, and financial insights.

COSai is not a licensed accounting firm, CPA, or financial advisor. We provide software tools and data analysis, not regulated accounting, tax, or legal advice. Engage a licensed CPA for tax filings and regulated financial work.

You must be at least 18 years old and have the legal authority to enter contracts. The Service is currently available to US-based businesses only. You must have the authority to bind your business to these terms.

You are responsible for maintaining the accuracy of your account information and the security of your credentials. You are responsible for all activity under your account. Notify us immediately at rico@cosai.tech if you suspect unauthorized access.

COSai offers monthly and annual subscription plans. Subscriptions auto-renew at the end of each period. You may cancel at any time through your account settings — cancellation takes effect at the end of the current billing period.

We do not offer refunds for partial billing periods. Free trial periods (currently 14 days) do not require a payment method to start; you will be charged on day 15 if you have not cancelled.

Annual plans are charged upfront. We do not prorate cancellations on annual plans, but we do offer a 30-day cancellation window for a full refund on annual plans.

You may not use the Service for: fraud or financial crime; money laundering or tax evasion; regulatory evasion; automated scraping or data harvesting; reverse engineering or decompilation; reselling access without our written permission; or any illegal activity under applicable law.

Violations may result in immediate account termination without refund.

You own your data. We process it on your behalf to provide the Service. We do not sell your data. We do not use your data to train AI models — we operate under zero-retention agreements with our AI processing partners (Anthropic).

You may export your data at any time. You may request deletion of your data at any time; we will complete deletion within 30 days, subject to legal retention requirements (we are required to retain certain financial records for up to 7 years).

The COSai software, design, and brand are our property. We grant you a limited, non-exclusive license to use the Service during your subscription. This license does not transfer ownership of any intellectual property.

COSai integrates with third-party services including Plaid, QuickBooks, Jobber, Gusto, and others. We are not responsible for the uptime, accuracy, or conduct of those services. Their terms of service govern your use of their platforms. We pass through their data to you; we do not guarantee its accuracy.

Each party agrees to hold the other's non-public information in confidence and to use it only to fulfill obligations under these terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

The Service is provided "as is" without warranty of any kind. We do not warrant that the Service will be error-free, uninterrupted, or accurate at all times. Financial data surfaced by COSai is derived from your connected systems and is only as accurate as those systems.

COSai is not a substitute for professional accounting or tax advice. Do not rely on COSai data as the sole basis for tax filings, financial reporting, or legal compliance.

To the fullest extent permitted by law, COSai's liability to you for any claim arising from these terms or the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

You agree to indemnify COSai against claims arising from your use of the Service in violation of these terms, your breach of any representation, or any third-party claim relating to your data or business.

These terms apply during your subscription. Either party may terminate for material breach upon 30 days written notice if the breach is not cured. We may terminate immediately for violations of Section 6. Upon termination, your access ends at the close of the current billing period; we will provide a data export window of 30 days.

These terms are governed by the laws of the State of Delaware. Disputes will be resolved by binding arbitration under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for IP violations. You waive the right to participate in class action lawsuits.

We may update these terms. We will notify you by email 30 days before any material change takes effect. Continued use after the effective date constitutes acceptance of the updated terms.
